1. Scope
These general terms of sale govern all supply relationships between the parties. Any derogations or specific conditions must be agreed in writing between the parties.
2. Conclusion of the contract
The Buyer's acceptance of an offer or order confirmation from Digital Forest, made in writing, implies the application of these general terms. Offers made by Digital Forest agents, representatives or sales staff are not binding until confirmed by the commercial management.
3. Samples and informational material
Catalog data, dimensions, assembly diagrams, colors, prices and sample characteristics are indicative and non-binding, unless expressly mentioned as such in the order confirmation.
4. Product modifications
Digital Forest reserves the right to make non-substantial technical modifications to the products, necessary for production optimisation, without prior notice.
5. Warranty and product conformity
- Products must match the specifications of the order confirmation and be free from apparent defects.
- Any damages during shipping must be reported immediately to the carrier and to Digital Forest by email or fax.
- No reimbursement is provided for transports arranged by the customer or for installation damage.
- The warranty covers a minimum of one year; for electronics, manufacturer terms apply.
- The warranty becomes void in case of improper use, vandalism, incorrect installation, accidents, negligence or inadequate storage.
- Software warranty becomes void in case of operating system updates beyond the specified versions.
6. Claims and satisfaction clause
- The Buyer must verify conformity within ten days of receipt, before further processing.
- Non-conformities must be reported within ten days by registered mail or PEC, with detailed documentation.
- The warranty becomes void if the Buyer prevents technical inspection or fails to return the disputed products within ten days of request.
- Digital Forest may send a technician at its own expense if logistics prevent the return.
- Upon claim acceptance, Digital Forest may at its discretion: (1) provide replacement products within ten working days at no cost, or (2) credit the purchase price.
- Liability is capped at the invoice price; indirect or consequential damages are excluded.
- Any compensation for damages cannot exceed the invoice price of the disputed products.
7. Technical standards and producer liability
Digital Forest complies with Italian legislation and European technical standards (CE). Warranties apply only to expressly indicated uses. For electrical, electronic and digital equipment, producer liability follows articles 114-127 of the Italian Consumer Code.
8. Deliveries
- Unless otherwise agreed, supply is Free Digital Forest warehouse.
- Risk transfers to the Buyer when the goods leave the Digital Forest warehouse.
- The delivery term starts only after the payment is received.
- Delays do not entitle to compensation or product return.
- Contract cancellation is allowed only by registered letter, limited to portions not yet shipped.
9. Payments
- Prices are Free warehouse, net at Digital Forest's address.
- Payment is due upon order confirmation, unless otherwise agreed in writing.
- Payment delays allow Digital Forest to suspend shipments, terminate the contract and claim damages.
- Payment delays exclude warranty coverage for the period of delay.
- The Buyer cannot claim Digital Forest's defaults while in arrears with payments.
- Full payment is due even in case of dispute; offsets against other credits are not allowed.
10. Retention of title
Products remain Digital Forest's property until full payment, where payment occurs after delivery.
11. Jurisdiction
All disputes shall fall under the exclusive jurisdiction of the Court of Milan.
12. Prices and payment terms
Prices are strictly tied to the stated payment terms. Changes in payment terms require amount adjustment. Defaults trigger blocking of software services and licences.
13. References
Digital Forest reserves the right to mention clients and completed projects in its own activities, with respect for confidentiality. The parties may agree on presentations and demonstrations.
